This SDK License Agreement ("Agreement") is a legally binding contract between:
Acquirely LLC ("Acquirely," "we," "us," or "our")
You, the individual or entity accessing or using the Acquirely SDK ("Licensee")
By installing, accessing, or using the Acquirely SDK, you agree to be bound by the terms of this Agreement. If you do not agree, you must not use the SDK.
1. Definitions
"SDK"
All scripts, modules, code snippets, loaders, CSS themes, UI files, DOM utilities, build assets, documentation, or related tooling provided by Acquirely.
"Service"
The Acquirely platform, portal, and related services.
"Derivative Work"
Any work based on, inspired by, or replicating the SDK's logic, behavior, structure, UI patterns, feature grouping, or internal architecture.
"Competing Product"
Any software, script, SDK, UI toolkit, customization layer, Chrome extension, DOM modification module, or GHL enhancement tool that offers functionality similar to or overlapping with Acquirely.
2. License Grant (Limited & Non-Exclusive)
Acquirely grants Licensee a limited, revocable, non-exclusive, non-transferable license to use the SDK solely for:
customizing the Licensee's own GoHighLevel agency accounts,
applying UI themes through Acquirely,
enabling features offered through the Acquirely platform,
building permitted internal workflows.
No other rights are granted.
3. Prohibited Activities (STRICTLY FORBIDDEN)
Licensee may NOT:
3.1 Reverse Engineering & Inspection
reverse engineer, decompile, or attempt to extract source code,
bypass obfuscation or load protections,
inspect SDK logic to understand internal workflows,
analyze DOM injections or internal rendering processes.
3.2 Copying or Replicating the SDK
Licensee may NOT:
copy any part of the SDK's functionality or structure,
create derivative works based on it,
reuse internal code patterns or techniques,
replicate UI, menus, layouts, flows, theme structures, or widgets,
mimic behavior, styling, logic, or architecture.
3.3 Creating or Assisting a Competing Product
Licensee may NOT:
build a competing product using knowledge gained from the SDK,
hire developers to replicate features,
use internal knowledge to reproduce UI/UX patterns,
create theme editors, SDKs, or customization tools similar to Acquirely,
build Chrome extensions, DOM layers, scripts, or GHL add-ons offering similar functionality.
This includes building, assisting, consulting, advising, or contributing to any competitive product.
3.4 Unauthorized Developer or Contractor Access
Licensee may NOT:
allow external developers to access the SDK without written approval,
give contractors access for competitive analysis,
permit any third-party to analyze or replicate behaviors.
All developer access must be disclosed.
4. Confidentiality
Any interaction with:
Acquirely support
technical debugging sessions
developer troubleshooting
Zoom calls, screen shares, or Fathom recordings
private communications
configuration insights
architectural explanations
…is confidential.
Licensee may NOT use this information to:
develop competing features,
replicate product behavior,
structure UI or flows similarly,
create alternative implementations.
This clause exists to prevent "knowledge transfer abuse."
5. Ownership
Acquirely retains 100% ownership of:
the SDK
all code
all themes
all logic
all intellectual property
all UI designs
all workflows
all documentation
all internal scripts
all derivative possibilities
Nothing in this Agreement grants ownership to Licensee.
6. Termination (Immediate & Automatic)
Acquirely may immediately and permanently terminate access to the SDK and platform if:
competitive intent is detected,
Licensee attempts to clone features,
code inspection is detected,
Licensee creates or contributes to a competing product,
unauthorized developer access occurs,
Licensee violates Terms, AUP, or this Agreement,
Licensee misrepresents business intentions.
No refund is provided for violations. Acquirely may take legal action for damages and injunctive relief.
7. Audit & Monitoring
Acquirely reserves the right to:
log SDK usage,
audit access,
monitor request patterns,
investigate suspicious activity,
review public materials (websites, videos, GitHub, etc.) related to Licensee,
identify derivative similarities or overlapping structures.
Audit data is used only to enforce this Agreement.
8. Indemnification
Licensee agrees to indemnify and hold Acquirely harmless against any claim, loss, or damage resulting from:
unauthorized use of the SDK,
violation of this Agreement,
creation of competitive tools,
derivative or copied implementations.
9. Disclaimers & Limitation of Liability
The SDK is provided "as-is" without warranties.
Acquirely is not liable for indirect or consequential damages.
Liability is limited to amounts paid in the past 12 months.
10. Governing Law
This Agreement is governed by the laws of the State of California, USA.
Any disputes shall be resolved exclusively in California courts.
